Chapter 3 - The Boardroom Coup

At 7:55 AM, the sun broke through the heavy grey clouds over Manhattan, casting cold light across the glass facade of Vanguard Technologies' forty-story headquarters.

In the hospital room, I sat in the dark with my tablet on my lap, connected to the internal video stream of the executive board room. My head was wrapped in white medical gauze, and an IV line was still hooked to my arm, but my mind was sharper than it had ever been.

On the screen, the fourteen members of my board sat around the massive mahogany table. At the head of the table sat Arthur Vance, my lead investor and long-time mentor. To his right sat Daniel, wearing a pristine dark charcoal suit, looking remarkably composed for a man whose wife was allegedly fighting for her life in an ICU.

Vanessa was sitting in the visitor’s gallery at the back of the room, wearing an oversized pair of dark sunglasses and a black silk trench coat, playing the role of the grieving best friend.

"Thank you all for coming on such short notice," Daniel began, his voice laced with forced gravelly emotion. "As you know, last night my wife... my dear Clara... suffered a catastrophic fall at our home. The doctors are still assessing the extent of the neurological damage."

Arthur Vance leaned forward, his bushy eyebrows drawn together. "We were all deeply saddened to hear the news, Daniel. But this emergency meeting was called regarding company leadership. Clara holds fifty-one percent of the voting stock. The market opens in fifty minutes, and news of her hospitalization has already leaked to the Financial Times."

Daniel placed a thick leather folder onto the table.

"I understand the urgency, Arthur," Daniel said smoothly, sliding the folder toward the board members. "This is the durable power of attorney Clara signed last month. It explicitly grants me full voting authority over her assets, including her equity in Vanguard Technologies, in the event of medical incapacitation."

The board members began flipping through the pages. I watched through the camera feed as Arthur Vance scrutinized the signature on the final page.

"This signature looks authentic," Arthur admitted reluctantly. "However, company bylaws state that a power of attorney for controlling stock must be accompanied by a certified medical affidavit from two independent physicians confirming long-term incapacity."

Daniel smiled softly—a calculated, compassionate smile.

"I spoke with her primary physician at Greenwich Hospital ten minutes ago," Daniel lied without flickering an eye. "Dr. Aris is currently preparing the documentation. Clara is unresponsive, Arthur. She cannot speak. She cannot sign documents. The company cannot afford a leadership vacuum while short-sellers attack our stock at the opening bell."

Vanessa leaned forward in her chair, dabbing her eyes with a tissue for dramatic effect.

"Daniel is right," Vanessa chimed in softly. "Clara would want the company protected. She gave her life to this place."

I tapped my earpiece. "Marcus, is the board room audio feed connected to the public address system?"

"Yes, Clara," Marcus’s voice returned instantly. "I have full override control over the board room's AV network."

"Unmute my microphone," I commanded softly. "And patch my live video feed straight to the main seventy-inch display behind Arthur's head."

In the board room, Daniel raised his pen, preparing to sign the temporary resolution that would hand him control of a four-billion-dollar enterprise.

"If the board will just sign the temporary authorization—" Daniel started.

Suddenly, the massive seventy-inch presentation screen behind Arthur Vance flashed from the company logo to bright white.

A loud, sharp electronic tone echoed through the room's speakers.

Daniel stopped mid-sentence. The board members turned around in their leather chairs.

The live video feed cleared.

There I sat, frame-centered, sitting upright in my hospital bed, white gauze wrapped around my skull, eyes clear, calm, and deadly cold.

The silence in the board room was absolute.

"Good morning, gentlemen," I said, my voice echoing loudly through the room’s surround-sound speakers. "And good morning, Daniel."

Daniel’s face drained of every ounce of color. His hand trembled, dropping his gold Montblanc pen onto the mahogany table. It rolled slowly off the edge and hit the carpet with a soft thud.

Vanessa stood up so fast her chair screeched against the floorboards.

"Clara..." Daniel stuttered, his voice suddenly squeaky and thin. "You... you're awake? The doctors said—"

"The doctors said I suffered a severe laceration," I interrupted, my tone icy enough to freeze the room. "They did not say I was dead, Daniel. Nor did they say I was incapacitated."

Arthur Vance stood up, a massive grin spreading across his face. "Clara! Thank God. We were told you were unresponsive."

"I am fully responsive, Arthur," I said, looking straight into the camera lens, pinning Daniel with my gaze. "And I am revoking any and all powers of attorney, real or forged, immediately. Marcus Hale is currently distributing a formal legal notice to the board secretary."

Daniel cleared his throat, desperately trying to pull his shattered composure back together. He took a step toward the screen, forcing a warm, relieved smile onto his trembling lips.

"Clara, darling... this is incredible news! But you're confused, sweetie. You took a terrible blow to the head last night. You shouldn't be stressing yourself with company matters right now—"

"I have never been clearer in my life, Daniel," I cut him off smoothly. "Arthur, as controlling shareholder, I am officially executing an emergency board resolution. Effective immediately, Daniel Miller is stripped of his title as Vice President of Corporate Development. His security access to all Vanguard facilities is revoked, and he is to be escorted off the premises by security."

The entire board room erupted into hushed, shocked chatter.

"Clara, you can't do this!" Daniel snapped, dropping his loving husband persona for a fraction of a second, his dark eyes flaring with fury. "You're acting irrationally! You hit your head—"

"Security," I said calmly.

The heavy double doors of the board room swung open. Marcus Hale stepped inside, flanked by three uniformed security guards.

Marcus walked straight up to Daniel, placed a firm hand on his shoulder, and leaned in close.

"Your keycard has been deactivated, Mr. Miller," Marcus said loud enough for the entire room to hear. "Please step away from the table, or we will remove you by force."

Vanessa backed away toward the exit, her face white as chalk, her eyes darting between Daniel and the massive screen showing my calm, unyielding face.

Daniel looked up at the screen, his jaw clenching so hard his teeth clicked. He leaned toward the camera lens, his voice dropping into a desperate whisper.

"This isn't over, Clara."

"You're right, Daniel," I replied, a slow, cold smile spreading across my lips. "It's just beginning."
